Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and ZELENOGLAZOE TAXI S.R.L., a company registered in Romania, trading as "aimodels.company" and "AI Models Company" ("we", "us", "our"). By purchasing, accessing, or using our website, products, prompt packs, downloads, or any related materials (together, the "Product"), you agree to be bound by these Terms. If you do not agree, do not purchase or use the Product.

The website aimodels.company is operated by AI Models LLC, a Wyoming limited liability company, 30 N Gould St Ste N, Sheridan, WY 82801, USA. Purchases made on the site are currently sold and charged by ZELENOGLAZOE TAXI S.R.L., which is the contracting party for those purchases.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to purchase or use the Product. By buying, you represent and warrant that you meet these requirements and that all information you provide is accurate.

2. License

We sell two different things and they carry two different licenses. Which one applies depends on what you bought.

(a) Course and educational materials. This covers the written course, guides, videos, templates, checklists, and prompt packs sold as instructional material. Subject to your payment and continued compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use these materials for your own individual learning. You may apply what you learn commercially without restriction - that is their purpose. You may not, in whole or in part: resell, sublicense, rent, lend, share, distribute, publish, post, upload, broadcast, or otherwise make these materials themselves available to any other person; grant another person access to your files or download links; reproduce or create derivative works of them for distribution; or use them to build, train, or populate any competing product, dataset, course, or service.

(b) AI model folders ("kits"). This covers the image sets, video, character reference files, prompt, and accompanying files delivered when you purchase a model. These are sold to you for commercial use. Each kit ships with a written usage license (LICENCE.txt) inside the folder, and that document governs the kit. In summary, and subject to that document, it grants you a perpetual, worldwide, non-exclusive license to publish the images and video under any account name you choose, to generate new images and video of the model using the supplied reference files and prompt, to represent her commercially (including brand work, sponsorship, affiliate content, and paid promotion), to sell or license the material you produce with her, and to rename her and build any persona around her that you like. It does not permit you to resell the folder itself as a product, to present her as a real person to someone making a decision on that basis, or to produce material involving minors, non-consensual scenarios, or the likeness of any real identifiable person.

A kit license is non-exclusive unless you have separately purchased exclusive rights to that model. Non-exclusive means the model is or was publicly listed and other people may hold the same license. Where exclusive rights are purchased, the separate document supplied with them governs that grant.

Every model we sell is generated. No model depicts a real person, and no photograph of a living individual is used to produce one. You are responsible for disclosing AI-generated content where the platform you post on or the law of your jurisdiction requires it; nothing in these Terms overrides a platform's rules or applicable law.

Except as expressly granted above, all rights are reserved, and no ownership of our underlying materials passes to you.

3. Intellectual Property

All content, text, prompts, images, videos, workflows, templates, and materials in the Product are owned by us or our licensors and are protected by copyright, trademark, and other laws. All rights not expressly granted are reserved. Any unauthorized use immediately terminates your license without refund and may result in legal action, for which you agree to be liable for our damages, costs, and reasonable attorneys' fees.

4. Educational Purpose Only - No Advice

The Product is provided for general informational and educational purposes only. It does not constitute, and must not be relied upon as, financial, investment, legal, tax, business, or professional advice. You are solely responsible for your own decisions and for obtaining independent professional advice where appropriate.

5. No Guarantee of Results - Earnings Disclaimer

We make no representation, warranty, or guarantee of any kind that you will earn any money, achieve any result, gain any followers, or avoid any loss. Any figures, screenshots, case studies, or examples are illustrative, are not typical, and are not a promise or projection of your results. Your outcomes depend on factors we do not control, including your effort, skill, market conditions, and the policies of third-party platforms. You accept full responsibility for any risk, loss, or expense you incur.

6. Third-Party Tools and Platforms

The Product references and may link to third-party tools, software, and platforms (including, without limitation, AI generation tools and social media platforms). Some links are affiliate links from which we may earn a commission at no extra cost to you. We do not control and are not responsible for third parties, their availability, pricing, terms, or actions (including account suspension or bans). Your use of any third party is at your own risk and subject to their terms. You are solely responsible for complying with the terms, rules, and applicable laws of every platform you use, including any content-disclosure or AI-labeling requirements.

7. Acceptable Use

You agree not to use the Product for any unlawful, deceptive, harassing, infringing, or harmful purpose, and not to create content that is illegal or that violates the rights of others. You are fully and solely responsible for any content you create and any consequences arising from your activities.

8. Payment, Prices and Taxes

Payments are processed by our third-party payment provider. You authorize us and our provider to charge your selected payment method for the total amount, including any applicable taxes. By completing a checkout that displays a payment-method reuse notice, you authorize Stripe to securely store your payment method for this limited purpose. If you later choose an optional add-on, you authorize us to charge its displayed one-time price to that saved payment method. You will not be charged unless you actively choose an add-on. This does not create a subscription or automatic recurring charges. Prices, offers, and bonuses may change at any time without notice; the price displayed at checkout applies to your purchase. You are responsible for any taxes, duties, or fees imposed by your jurisdiction.

9. Refunds

The Product is digital and is delivered in full at the moment of payment, so all sales are final and all payments are non-refundable to the maximum extent permitted by law. Where something you bought is missing, broken, or not what the page showed you, we will repair, replace, or exchange it as described in our Refund Policy, which is incorporated into these Terms.

10. Disclaimer of Warranties

THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, CURRENT, OR THAT ANY CONTENT, METHOD, PROMPT, OR SETTING WILL WORK, REMAIN AVAILABLE, OR PRODUCE ANY OUTCOME.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, ACCOUNTS, OR OPPORTUNITY, HOWEVER CAUSED. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PRODUCT OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE PRODUCT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY IS LIMITED TO THE SMALLEST AMOUNT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold us and our affiliates, officers, and agents harmless from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Product, your content, your breach of these Terms, or your violation of any law or third-party right.

13. Chargebacks

If you have a billing concern, please contact us first at hello@aimodels.company - we would rather resolve it directly and usually can. Nothing here affects your right to dispute a charge with your bank or card issuer. If a purchase is charged back or reversed, we may suspend your access and decline future purchases, and we may provide our records of your order, acceptance, and delivery to the payment provider or issuer in response to the dispute.

14. Termination

We may suspend or terminate your access - including download links, re-downloads, and any account or support we provide - at any time if you breach these Terms or if we reasonably suspect fraud, abuse, or unauthorized sharing. Where we do so for a material breach, or where a purchase is refunded, charged back, or reversed, the license granted for the affected item terminates and you must stop using and delete all copies of it.

Otherwise, a kit license granted under Section 2(b) for a model you have paid for and received is perpetual and survives termination of your access, as described in the license document supplied with it. Sections that by their nature should survive (including licensing restrictions, IP, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.

15. Changes

We may modify the Product or these Terms at any time. Updated Terms are effective when posted with a new "Last updated" date. Your continued use after changes constitutes acceptance.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict-of-law rules. Disputes will be brought in the courts of the Republic of Lithuania.

If you are a consumer, this does not take away rights you cannot lawfully be deprived of. You keep the protection of the mandatory consumer law of the country you live in, and you may bring proceedings in the courts of that country. Consumers in the EU and the UK may also use the online dispute-resolution and alternative-dispute-resolution options available to them.

17. Miscellaneous

If any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be limited to the minimum extent necessary. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may. These Terms, together with the Refund Policy and Privacy Policy, are the entire agreement between you and us and supersede all prior understandings.
